Cancellation policy
Initiation of cancellation
Either party may cancel this agreement for any reason by providing 30 days written notice to the other party.
Cancellation fee
In the event of cancellation by the client, a cancellation fee will be payable, which will be calculated as a percentage of the total project fee, proportionate to the amount of work completed up to point of cancellation.
Termination for cause
Breach of agreement
Either party may terminate this agreement immediately upon written notice if the other party materially breaches any of its terms and falls to correct the breach within 15 days following written notice detailing the breach.
Insolvency
The agreement may also be terminated if either party becomes insolvent, declares bankruptcy, or ceases business operations.
Consequences of termination
Outstanding payments
Upon termination, all outstanding payments for work completed up until the point of termination become immediately due and payable.
Return of materials
Upon termination, each party must return or destroy the other party's confidential information, as well as any other materials or property belonging to the other party.
Restriction on deliverables usage
Upon termination, the client shall not have rights to use any deliverable, except with the express written consent of the designer provided after such termination.
Survival of terms
Continued effect
Certain provisions of this agreement, including confidentiality, Ownership and rights, and liability, shall continue in effect after termination of this agreement.
